END USER LICENSE AGREEMENT (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (either an individual or a single entity, hereinafter “User” or “You”) and IT Mooti (the “Provider”), the owner and operator of XOSync (https://xosync.it).

By installing, accessing, or using the XOSync integration service (the “Software”), you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not use the Software.

Provider grants You a revocable, non-exclusive, non-transferable, limited license to access and use XOSync strictly in accordance with the terms of this Agreement and for your internal business purposes of synchronizing data between Ontraport and Xero.

XOSync is an integration tool designed to automate the creation of invoices in Xero based on transactions occurring in Ontraport. The service includes, but is not limited to:

• Synchronizing contact information between platforms.

• Mapping products, coupons, taxes, and shipping fees.

• Automating payment reconciliation.

You agree not to, and you will not permit others to:

• License, sell, rent, lease, assign, distribute, host, or otherwise commercially exploit the Software.

• Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Software.

• Use the Software for any purpose that is illegal or prohibited by this Agreement.

• Data Processing: XOSync acts as a bridge between your Ontraport and Xero accounts. You acknowledge that data will be transmitted via XOSync using SSL encryption.

• Access: To function, XOSync requires API access to your Ontraport and Xero accounts. You are responsible for maintaining the security of your API keys and login credentials.

• Third-Party Terms: Your use of XOSync is also subject to the terms and conditions and privacy policies of Ontraport and Xero. Provider is not responsible for the data practices of these third-party platforms.

• Subscription: Use of the Software is subject to a subscription fee as outlined on the XOSync website.
• Trial Period: Any trial version provided (e.g., $1 for 30 days) is subject to the same terms. Upon expiration of the trial, access may be restricted unless a paid subscription is active.
• Refunds: [Insert your refund policy, e.g., Payments are non-refundable once processed.]

The Software, including without limitation all copyrights, patents, trademarks, and trade secrets, is and shall remain the sole and exclusive property of IT Mooti.

To the maximum extent permitted by applicable law, in no event shall Provider be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data, or business interruption) arising out of or in any way related to the use of or inability to use the Software.

The Software is provided to you “AS IS” and “AS AVAILABLE” and with all faults and defects without warranty of any kind. Provider does not guarantee that the synchronization will be 100% error-free or that it will meet all of your specific accounting requirements. It is your responsibility to reconcile your accounts in Xero.

This Agreement is effective until terminated by You or Provider. Provider may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.

This Agreement shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.
